1. Scope of Service
DigyNex Systems provides the Tuition Manager Spectrum (TMS) and Nexus Enterprise CMS as SaaS (Software as a Service) solutions. These platforms are provided for institutional management and automation purposes based on the license tier selected by the user.
2. Data Responsibility (GDPR Role)
For the purposes of the GDPR, the Client (Institute/Business) is the Data Controller, and DigyNex is the Data Processor. DigyNex processes data only on behalf of the Client. The Client is solely responsible for ensuring they have the legal right to collect data from their students or employees.
3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY SWEDISH LAW, DIGYNEX SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE.
4. "As Is" Provision
The service is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 100% uptime, DigyNex does not warrant that the service will be uninterrupted, error-free, or completely secure from all cyber threats.
5. Intellectual Property
All software, code, branding, and interfaces of DigyNex remain the exclusive property of DigyNex Systems. Clients are granted a limited, non-transferable license to use the system but may not clone or reverse-engineer any part of the service.
6. Fees and Non-Payment
Failure to pay subscription fees within 14 days of the due date will result in temporary suspension of service access. Data will be retained for 30 days post-suspension before being permanently erased.
7. Governing Law
These terms are governed by and construed in accordance with the laws of Sweden. Any disputes arising from these terms shall be settled in the courts of Stockholm, Sweden.
